Our Approach to Contract Review
A contract review is not better simply because it produces more amendments. We consider what should be changed and what can be accepted in light of the transaction’s purpose and how it will work in practice.
We Start with Your Business Objective
The importance of a clause depends on the transaction and your position in it. What will you provide? Which terms matter most? How will the arrangement operate? We ask about matters the contract alone cannot explain and identify the points that need attention.
We Prioritise the Changes That Matter
Numerous minor amendments can prolong negotiations. We consider business impact, the likelihood of problems, the relationship with the other party and the timetable. We then explain which points deserve priority and which you might reasonably consider accepting.
We Explain the Reasons and the Alternatives
We explain the problem each proposed amendment is intended to address, rather than simply returning a marked-up document. If the other party is reluctant to agree, we consider alternative wording, operational measures and the risks that would remain.
We Test Templates against the Current Transaction
A clause that worked in a previous transaction may not be appropriate this time. We use templates and precedents as a reference while checking their fit for the matter at hand. Our aim is to help you understand the contract and make informed decisions.
